Trimble Finland Has Acquired Title to All Shares in Tekla Corporation
According to information Tekla Corporation ("Tekla") has received today, Trimble Finland Oy ("Trimble Finland") has posted the required security in connection with the redemption of the minority shares in Tekla. Trimble Finland has thus acquired title to all the outstanding shares in Tekla in accordance with the Companies Act. As a consequence of the posting of the security, the minority shareholders of Tekla are entitled only to the redemption price and to the interest accruing thereon.
NASDAQ OMX Helsinki Ltd has upon the request of Tekla resolved to delist Tekla's share from the Helsinki Stock Exchange upon the title to all the shares in Tekla having been transferred to Trimble Finland. Exemption from the Regular Duty of Disclosure
The Finnish Financial Supervisory Authority has granted upon the application of Tekla Corporation ("Tekla") an exemption from the duty to publish financial statements, the report of the Board of Directors, the financial statements bulletin, and the annual summary from the year 2011. An exemption has also been granted from the duty to publish an interim report from the period January 1 to March 31, 2012.
In its decision, the Finnish Financial Supervisory Authority has taken into account, among other things, the fact that in the redemption proceedings under Chapter 18 of the Finnish Companies Act the redemption price is determined based on the fair price of the share before the initiation of the arbitral proceedings, and that Tekla has published an interim report covering the first nine months of the accounting period that started on January 1, 2011, during which time the arbitral proceedings became pending. Since the arbitral proceedings were initiated during the said period, the Finnish Financial Supervisory Authority has determined that the exemption concerning subsequent reporting periods does not jeopardize the position of the investors.
